General Bussines Conditions

General Business Conditions apply to all types of products and services in the field of molecular biology. These conditions do not apply to services for the public. Closer specification of these General Business Conditions is provided for individual product types by means of Amendments to General Business Conditions.

 

Validity of catalogues and pricelists

Current web versions of product and service catalogues take precedence over printed versions of the catalogues provided that such printed versions exist.

 

Terms of delivery

Terms of delivery are stated with individual product or service categories in their respective sections.

Term of delivery A means that the product shall be dispatched within 2 working days after the day that follows the purchase order receipt date. The time needed to deliver the consignment must be added to the time mentioned above. The client is informed by e-mail as soon as the consignment is dispatched.

Term of delivery B means that the product shall be dispatched within 5 working days after the day that follows the purchase order receipt date. The time needed to deliver the consignment must be added to the time mentioned above.

Term of Delivery X means that the product shall be dispatched within an individual time period upon receiving your purchase order. The customer is informed of this time period upon the receipt of his/her purchase order.

 

How to place purchase orders

Purchase orders of products and/or services can be placed in any of the following ways (only some of the options below are available in each product or service type):

  • By post, fax
  • Regular e-mail
  • Online form from our website (in products where such an online form is available). Preferred prices can be charged for the products in the listed cases if this option is used (see the pricelist).
  • e-mail submission of the filled Excel form upon its download from our website (for products where such an Excel form exists). Preferred prices can be charged for the products in the listed cases if this option is used (see the pricelist).

Purchase orders cannot be placed by telephone. Products that can be ordered using the online form or downloaded Excel form are loaded automatically into the control programme, therefore preferential price applies.

If you opt for electronic placement (online form or e-mail), please regard the purchase order as accepted only after you receive its confirmation from us by e-mail.

 

Sample acceptance

If the ordered service requires that the customer provides some material(s), conditions to accept such material(s) are provided with the relevant service.

 

Purchase order confirmation

  • Purchase orders submitted by post, fax: Confirmation is provided by sending a signed copy of the purchase order (only upon request of the customer)
  • Purchase orders placed by regular e-mail: Confirmed by e-mail
  • Purchase orders placed by an online form from the website: Confirmed by e-mail
  • Purchase orders placed by sending a filled Excel form, upon its download from our website, by e-mail: Confirmed by e-mail

 

Prices

The prices of some products may depend on the purchase order volume and on whether the client is a preferential customer in the given time period.

Special prices and conditions can be agreed for large consumers or large purchase orders on an individual basis.

 

VAT

  • In cases that the invoice address of the product recipient is found in the Czech Republic, the invoice is always issued with 20% VAT.
  • In cases that the invoice address of the product recipient is found in an EU country and the organization is a VAT payer, the client must provide his/her registration number (VAT No.) that must be verified by us before issuing the invoice.
  • In cases that the invoice address of the product recipient is found in an EU country and the organization is not a VAT payer, invoice with 20% VAT is issued.
  • In cases that the invoice address of the product recipient is found outside of the EU, the invoice is always issued excl. VAT.

 

Prices in other currencies than CZK

Product and service prices in other currencies (EUR, PLN) are calculated from the price in CZK and the internal exchange rate. Final prices may be rounded mathematically.

New internal exchange rate is always calculated for the given quarter. It is calculated as the arithmetic average of the last 4 quarterly averages published by the Czech National Bank. That means that the internal exchange rate changes 4 times a year (at the quarter beginning) upon publication of the subsequent quarterly average.

Product and service pricelists (in other currencies than CZK) change 4 times a year, as well (at the quarter beginning) depending on the quarterly averages.

 

Temperature conditions during shipment; product storage information

  • In cases that products are delivered that may be transported and kept under common ambient temperatures, such products are normally sent as certified mail, with no special labelling.
  • In cases that products are delivered that may be transported under common ambient temperatures but should be kept under lower temperature, such products are normally sent as certified mail, bearing a distinct warning on the packaging, stating that the products should be stored at +4°C upon receipt.
  • In cases that products are delivered that must be transported on ice (i.e. with iceboxes) or on dry ice, such products are dispatched by means of a carrier services, with information on temperature conditions for transport and storage stated on the packaging.

Delivery on dry ice


Shipments on dry ice are dispatched on Tuesdays and may be sent only to addresses where they shall arrive not later than until Friday. The shipment may contain such a maximum quantity of dry ice that can preserve its very low temperature for 80 hours after its dispatching is initiated (function of shipment content temperature on time >>).

 

Way of transport

One of the ways of transport below is chosen by the customer at the time of placing his/her purchase order. If the way of transport is left unassigned, the shipment is sent by post (provided that it contains no products on ice) or by means of a carrier service (if products on ice are contained).

  • Certified mail: Consignments with value up to CZK 10,000 (excl. VAT) that may be transported under ambient temperature are dispatched as regular certified mail unless the customer opts for another way of transport. Consignment tracking on the Internet is not available.
  • Consignments with value higher than CZK 10,000 (excl. VAT) are dispatched as a registered parcel as standard.
  • EMS: Consignments with value up to CZK 10,000 (excl. VAT) may be dispatched. EMS provides consignment tracking on the Internet according to its number. Next day delivery is guaranteed by the operator in the Czech Republic.
  • PPL: Consignments with value up to CZK 50,000 (excl. VAT) may be delivered with no additional charges. Transportation of consignments with value higher than CZK 50,000 is possible with insurance. PPL provides consignment tracking on the Internet according to its number. Next day delivery is guaranteed by the operator in the Czech Republic.
  • DHL, FedEx: Tracking available. This is a suitable service for fast transportation abroad.
  • Upon purchase order placement using the online form (see above), the customer can choose what way of transport he/she prefers. If the way of delivery is left unassigned by the customer, the consignment is dispatched as certified mail provided that it may be transported under ambient temperature.

 

Postage (transport fee); packing fee

The postage (transport fee) is charged according to the pricelist.
In frozen products dispatched on wet or dry ice, additional packing fees are charged (CZK 250/package).

 

Invoicing; payments

  • Purchase orders with invoice address in the Czech Republic are invoiced in CZK; payments are made to the bank account: Komerční banka, account number 584240277/0100 (SWIFT: KOMBCZPP, IBAN: CZ7601000000000584240277)
  • Purchase orders with invoice address in the Slovak Republic are invoiced in EUR; payments are made to the bank account: UniCredit Bank Slovakia, account number 10 4305 8004/1111 (SWIFT: UNCR SKBX, IBAN:SK3711110000001043058004)
  • Purchase orders with invoice address in PL are invoiced in PLN; payments are made to the bank account: Pekao SA (Poland), account number 66 1240 6700 1111 0010 2008 5479 (SWIFT: PKOPPLPW, IBAN: PL66124067001111001020085479)
  • Purchase orders with invoice address outside of the Czech and Slovak Republics and Poland are invoiced in EUR; payments are made to the bank account: Komerční banka, account number 78-7760910287/0100 (SWIFT: KOMBCZPP, IBAN: CZ3201000000787760910287)

Besides bank transfer, the payment gateway can be used to pay for delivered products and services based on an issued invoice; this gateway can be used for online payment of any amount using a payment card. Bank transactions are protected by standard protocols used for this type of operations.

 

Warranty complaints due to non-functional products

Warranty complaints about products may be submitted during the period of 6 months upon their receipt unless another period is provided for a specific product. Provided that no apparent error in using the product on part of the customer is found, the complaint is resolved upon agreement with the customer by delivery of a new product free of charge.

 

Ownership rights

The customer is the owner of all delivered materials that shall be submitted to the customer upon request when the service is terminated. GENERI BIOTECH s.r.o. is the owner of any know-how originated in the course of providing the service/project, and GENERI BIOTECH s.r.o. is also the owner of any materials developed while providing the service/project unless such facts are regulated by a contract between GENERI BIOTECH s.r.o. and the client.

 

Amendments to General Business Conditions

Closer specifications of some relevant sections of these General Business Conditions are provided with individual product types and/or the General Business Conditions are amended by additional business conditions.
